Terms of Service

These Terms of Service ("Terms") govern access to and use of b2b.platanopr.com and the related wholesale and fulfillment services (the "Services") provided by PlatanoPR / Platanoflo ("PlatanoPR," "we," "us," or "our"). By accessing the Services or placing an order, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Services.

1. Business Use and Accounts

The Services are intended for businesses purchasing at wholesale. You represent that you are authorized to bind your business, that the information you provide is accurate, and that you will keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Orders and Acceptance

All orders are offers to purchase and are subject to our acceptance. We may accept, decline, limit, or cancel any order, in whole or in part, at our discretion, including for suspected error, fraud, or unavailability. No order is binding on us until accepted.

3. Pricing and Availability

Prices, product descriptions, and availability are subject to change at any time without notice and may contain errors. We reserve the right to correct errors and to cancel affected orders even after an order is placed. Wholesale pricing and any credit terms are for authorized business accounts only.

4. Payment

You agree to pay all amounts due, including applicable taxes, shipping, handling, and fees, in accordance with the terms presented at checkout or in your account. Late or unpaid amounts may accrue interest and collection costs to the extent permitted by law, and we may suspend or withhold fulfillment on past-due accounts.

5. Saved Payment Methods

When you are signed in and complete a purchase, we securely store a token representing your payment card with our PCI-compliant payment processor so that you can check out faster next time. We never store your full card number on our systems. You can view and remove saved payment methods at any time from the Payment Methods section of your account.

6. Shipping, Fulfillment, and Risk of Loss

Shipping and fulfillment (including any 3PL/4PL services) are subject to our Shipping Policy and any separately agreed terms. Delivery dates are estimates only. Unless otherwise agreed in writing, title and risk of loss pass to the buyer upon our delivery of the goods to the carrier.

7. Returns

Returns are governed by our Returns & Refunds Policy, which is incorporated into these Terms by reference.

8. Acceptable Use

You agree not to misuse the Services, including by attempting to gain unauthorized access, interfering with the Services, scraping or harvesting data, infringing intellectual property, uploading malicious code, or using the Services for any unlawful purpose or in violation of these Terms.

9. Intellectual Property

The Services and all content, trademarks, logos, and materials are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. No other rights are granted.

10. Disclaimer of Warranties

Except for any warranty expressly provided in a signed writing, the Services and all goods are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, PlatanoPR and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Services or any goods, even if advised of the possibility. Our total aggregate liability for any claim will not exceed the amount you paid to us for the goods or Services giving rise to the claim during the three (3) months preceding the event.

12. Indemnification

You agree to indemnify, defend, and hold harmless PlatanoPR and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your goods, or your breach of these Terms or applicable law.

13. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable laws of the United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute not subject to arbitration will be the courts located in the Commonwealth of Puerto Rico, and you consent to their jurisdiction.

14. Dispute Resolution; Arbitration

Any dispute arising out of or relating to these Terms or the Services will, at either party's election, be resolved by binding arbitration on an individual basis in the Commonwealth of Puerto Rico, and not in a class, collective, or representative proceeding. Each party waives any right to a jury trial to the extent permitted by law. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

15. Termination

We may suspend or terminate access to the Services at any time, with or without cause. Provisions that by their nature should survive termination will survive.

16. Changes to These Terms

We may modify these Terms at any time by posting an updated version. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
